Terms of Service

These Terms govern your use of the SeekerMail desktop email client. SeekerMail is operated by Vivbase LLC, a company organized in the United States ("SeekerMail," "we," "us"). By installing or using the software, you agree to them.

1. License & ownership

SeekerMail grants you a limited, non-exclusive, non-transferable license to install and use the software on your devices per the plan you purchased. Intellectual property in the software itself — code, design, and trademarks — belongs to SeekerMail. Your email data is yours: the software acquires no rights in your mail content.

2. Acceptable use

You agree not to: (1) use the software for unlawful purposes or to send illegal, infringing, or harassing content; (2) reverse-engineer, crack, or circumvent licensing or security mechanisms; (3) resell or sublicense the software, except under enterprise volume licensing; or (4) misuse your connected third-party mail hosts or AI providers in violation of their terms. You are responsible for the content you send and receive via the software.

3. Bring-your-own AI & third parties

The software lets you connect AI providers and mail hosts of your choice. These third parties are not under SeekerMail's control, and your relationship with them is governed by their terms. When you enable cloud AI, content goes directly to the provider you configured; SeekerMail does not proxy it. SeekerMail is not responsible for third-party availability, output quality, data handling, or fees. AI-generated content is for reference only, is not legal, financial, or professional advice, and should be reviewed by you before sending.

4. SeekerMail ID account & communications

A SeekerMail ID is optional — you can use the software locally without one. If you create a SeekerMail ID by signing in with Google:

• You are responsible for the authenticity and security of that sign-in account.
• We use it to send you transactional notices (account, security, and billing information necessary to provide the service), which do not depend on marketing consent.
• Marketing emails (product news, tips, offers) are sent only after you explicitly opt in, and you may unsubscribe in one click or turn them off in Settings at any time, without affecting transactional notices.
• We do not sell or share your data with third parties for their own marketing.
• You may delete your SeekerMail ID at any time, and we will erase the cloud identity and marketing record with it; your local mail is unaffected.

Entitlement and subscription rights bind to the SeekerMail ID.

5. Liability boundary: no cloud processing

Because the software is local-first and SeekerMail's servers do not receive or store your mail content, liabilities tied to a cloud service hosting your data do not apply under this architecture. You are responsible for your device security, data backups (export mbox + JSON anytime), and safekeeping of your account credentials.

6. Warranty disclaimer & limitation of liability

To the maximum extent permitted by law, the software is provided "as is," without express or implied warranties. Any service-level commitment offered for commercial versions is a separate, explicitly enumerated commitment and does not expand liability beyond this section. SeekerMail's aggregate liability is limited to the fees you paid for the relevant period, and SeekerMail is not liable for indirect, incidental, or consequential damages.

7. Subscription, billing & refunds

Subscriptions auto-renew per period and can be canceled anytime, effective at the end of the current period. Annual subscriptions are fully refundable within 14 days of first purchase. Perpetual licenses are non-refundable once delivered, except where a statutory right of withdrawal applies. Price changes are announced in advance and do not affect already-purchased periods.

8. Termination

You may stop using the software and uninstall it at any time; uninstalling and "delete all" clear local data and Keychain entries. SeekerMail may terminate the license on material breach. Sections that by their nature survive — such as ownership and limitation of liability — continue after termination. Because your data is local to you, termination does not affect your access to your own data.

9. Governing law & changes

Vivbase LLC is organized in the United States; the specific governing law and dispute venue will be confirmed here prior to commercial availability. Material changes to these Terms will be announced in advance, and continued use constitutes acceptance. If these Terms are offered in more than one language, the English version controls in case of any discrepancy.
